CUSTOMER’S AND END USER’S OBLIGATIONS AND RESPONSIBILITIES

SIA Duo Lite and the Buyer are aware that any trade may be subject to local and international sanctions, restrictions, and regulations.

In view of the foregoing, the Buyer's representative guarantees with his/her signature the following in relation to SIA Duo Lite products:

1. The Buyer represents and warrants that it is not subject to any export control or sanction regulations (hereinafter - Trade Control Regulations) imposed by the United Nations, the European Union, the United Kingdom, the United States, or any other country. The Buyer shall not use, export, re-export, transfer, sell, or deliver any products to, or for any use in Cuba, Iran, North Korea, Syria, Crimea, Donetsk, Luhansk, Russia, Belarus, or any other country subject to the trade restrictions that would violate or otherwise contravene any Trade Control Regulations.

2. SIA Duo Lite may immediately terminate the Sales Agreement or suspend the fulfillment of orders if SIA Duo Lite has any reason to believe that further execution of the Agreement is prohibited in accordance with the Trade Control Regulations, or otherwise exposes SIA Duo Lite to any negative consequences or sanctions.

3. SIA Duo Lite shall not be responsible for any direct or indirect losses incurred by the Buyer due to delivery delays or interruptions, if SIA Duo Lite believes that the execution of deliveries is prohibited according to the export control regulations or sanctions, or otherwise exposes SIA Duo Lite to any negative consequences or sanctions.

4. The Buyer agrees that it has in place and shall maintain accurate records, reports, accounting documents, and information that accurately and fairly reflect any and all end-user and any end-use information, payments made, expenses incurred, and assets disposed of and that it has in place and shall maintain internal accounting controls system to ensure that all transactions are properly authorized, recorded and reported and to provide reasonable assurances that irregularities, bribery, corruption or improper payments in any jurisdiction shall be prevented, detected and deterred in accordance with Trade Control Regulations. The Buyer agrees to keep such reports and records for at least five years to enable regulatory authorities to review the transactions in the event such a request is made.

5. SIA Duo Lite shall have the right to request from the customer additional information about the use of the products, the location where they will be used, and the end user of the products. In the event that the customer refuses to provide the said information, SIA Duo Lite may refuse the relevant transaction with the customer. We warrant that we will not use the goods for chemical, biological, or nuclear weapons, missile systems (including ballistic missile systems, space launch vehicles, and sounding missiles), or unmanned aerial vehicles capable of delivering chemical, biological, or nuclear weapons, in the development of weapons of mass destruction, or for any other end use, prohibited by applicable law.
